Legislation, regulation, listing standards and proxy advisory services demand compliance with checklists of requirements focused mainly on people (e.g., director independence) and structure (e.g., committees). But it is board process — the work directors do and how they go about it — that matters most in achieving effectiveness.

The CEO and chairman of BET, Debra Lee, has joined Twitter's board of directors, according to a company announcement made last week.
The addition of Lee diversifies the board to be a better reflection of the diverse community Twitter serves. Lee is Twitter's first African-American board member.
